Terms of Sale

1. Purpose
These general terms of sale (the "Terms") govern the sale of the visibility services offered on the website www.kalidirectory.com (the "Site") by Ivan ARKHANGUELSKY, sole trader operating under the trade name KaliSynergy ("KaliDirectory" or "we"), to any company, entity or professional (the "Client") wishing to list or promote its business in the KaliDirectory directory.
Any registration or subscription request implies unreserved acceptance of these Terms, which prevail over any other document of the Client. The Site's terms of use and the privacy policy supplement them.

KaliDirectory is an independent service. It has no official link with the Princely Government of Monaco, the Monaco Economic Board or any Monegasque institution.
3. Services
KaliDirectory publishes business listings in a multilingual directory dedicated to the economic ecosystem of Monaco. The services are described on the "Our offers" page of the Site:
- Free: basic listing, free of charge;
- Essentiel: enhanced listing, for a period of twelve (12) months;
- Premium: full listing with prominent placement, for a period of twelve (12) months.
The details of what each pack includes (description length, visuals, gallery, FAQ, service pages, editorial article, etc.) appear on the "Our offers" page on the day of the request and form part of the contract. Additional options or editorial services may be offered on quotation.
All listings are published in French and automatically translated into the other languages of the Site (see article 10).
4. Ordering
The request is made via the Site's registration form, or by any other means agreed in writing. It constitutes an offer to contract and not a contract.
Each request is subject to a manual verification. KaliDirectory undertakes to reply within 48 working hours. KaliDirectory reserves the right to refuse a request, in particular where the business is not carried out in Monaco or directly linked to the Monegasque ecosystem, where the information provided is inaccurate, incomplete or unverifiable, or where the proposed content is contrary to the law, to third-party rights or to the Site's editorial policy.
For paid packs, KaliDirectory sends the Client a confirmation by e-mail containing a reference, a summary of the pack and the amount to be paid. The contract is formed upon receipt of the first payment (full annual payment, or first monthly instalment of the subscription). The listing is activated once payment has been received.
For the Free pack, the contract is formed when the listing is published.
5. Prices
Prices are expressed in euros, per pack, for twelve (12) months under the annual plan or per month under the monthly subscription, as displayed on the Site on the day of the request.
VAT not applicable, article 293 B of the French General Tax Code: KaliDirectory benefits from the VAT exemption scheme. No VAT is charged. Should this regime change, VAT would be added to the displayed prices excluding tax, for orders placed after the change.
A commercial discount may be granted to members of the Monaco Economic Board on the Premium pack, upon the Client's declaration when making the request; KaliDirectory may ask for supporting evidence. Discounts cannot be combined beyond the ceiling indicated on the Site.
KaliDirectory may change its prices at any time. A change does not apply to the current period of a pack that has already been paid for.
6. Payment
The annual plan is paid in one instalment, in advance, by bank transfer to the account indicated in the confirmation e-mail, quoting the request reference, or, where this option is offered, by bank card via a secure payment provider. The monthly subscription is paid by bank card, by monthly direct debit through the same provider. KaliDirectory does not store any banking data.
An invoice is issued for every payment and sent by e-mail.
If payment is not made within thirty (30) days of confirmation, the request is deemed lapsed. For professionals, any late payment of a sum due automatically entails, in accordance with articles L. 441-10 and D. 441-5 of the French Commercial Code, late payment penalties at a rate of three times the legal interest rate and a fixed recovery indemnity of 40 euros, without prejudice to additional compensation on production of supporting evidence.
7. Duration, expiry and renewal
The Essentiel and Premium packs are offered under two arrangements, at the Client's choice where both are available on the Site:
- Annual plan: twelve (12) months from activation of the listing, paid in advance. It is not tacitly renewed. KaliDirectory informs the Client of the expiry date by e-mail approximately fifteen (15) days before it falls due.
- Monthly subscription by bank card, via the Site's payment provider: it is tacitly renewed each month by direct debit at the monthly rate displayed on the day of subscription. The Client may terminate it at any time from the management link provided in its e-mails or by writing to the contact address; termination takes effect at the end of the current, already paid, monthly period. If a debit fails and is not remedied within fifteen (15) days, the subscription ends.
When an annual plan expires without being renewed, or when a monthly subscription ends, the listing is automatically reverted to the Free pack: the elements specific to the paid pack (visuals, gallery, FAQ, service pages, etc.) are no longer displayed, without the listing being deleted.
Sums paid are not refundable, in whole or in part, in the event of early termination at the Client's initiative. The Client may at any time request the complete deletion of its listing at the contact address.
8. Content provided by the Client
The Client warrants that the information and content it provides (company name, contact details, description, logo, photographs, trademarks, names and roles of executives, links) are accurate, up to date and lawful, and that it holds all the rights and authorisations necessary for their publication, including from the individuals mentioned.
KaliDirectory may adapt the formatting of content, summarise it or supplement it from public sources, and refuse or remove any item it deems unlawful, misleading, disparaging or contrary to its editorial policy, without entitlement to a refund where the removal is attributable to the Client.
Requests for changes are sent by e-mail or via the tools made available on the Site. They are handled manually within an indicative period of five (5) working days.
9. Verification and the "Verified" label
The "Verified" label indicates that a representative of the company has confirmed the information on the listing with KaliDirectory. It constitutes neither a certification nor a guarantee regarding the company, its products or its services.
10. Automatic translations and search visibility
Listings are automatically translated into the languages of the Site. KaliDirectory uses recognised tools but does not guarantee the accuracy of the translations; the French version prevails. The Client may report any error, which will be corrected as soon as possible.
KaliDirectory structures listings for search engines and artificial intelligence assistants. This is an obligation of means: no position in search results, and no volume of visits, contacts or citations by third-party services, is guaranteed.
11. Intellectual property
The Client grants KaliDirectory, for the duration of publication of its listing and worldwide, a non-exclusive, royalty-free licence to use, reproduce, display and adapt (in particular translate, format and structure the data of) the content provided, for the purpose of distributing it on the Site, in its feeds, its structured data and the services that reuse them.
The Site, its structure, its database, its texts, graphic elements and the KaliDirectory trademark are protected. Any substantial extraction or reuse of the database is prohibited without written authorisation.
12. Personal data
KaliDirectory processes the data of the Client and its representatives for the management of the request, the contract, invoicing and the commercial relationship (legal basis: performance of the contract and legitimate interest), as well as for the publication of the professional information appearing on the listing. The published data on executives is professional data provided or validated by the Client.
The detailed arrangements (retention periods, recipients, rights of access, rectification, erasure, objection and portability, complaints to the CNIL) are set out in the Site's privacy policy. Any request may be sent to [email protected].
13. Liability
KaliDirectory has an obligation of means. It uses reasonable efforts to ensure the availability of the Site, without guaranteeing continuous access; interruptions for maintenance, updates or force majeure may occur.
KaliDirectory is not responsible for content provided by the Client, for third-party sites to which the Site links, or for decisions made by visitors on the basis of the published information.
To the fullest extent permitted by law, KaliDirectory's liability under the contract is limited to direct damages and capped at the amount actually paid by the Client during the twelve (12) months preceding the event giving rise to liability. Loss of revenue, customers, reputation or data constitutes indirect damage for which no compensation is due.
14. Right of withdrawal
The services are intended for professionals. The right of withdrawal provided for by the French Consumer Code does not apply, except in the case of a Client employing no more than five employees and contracting outside the scope of its main activity (article L. 221-3 of the Consumer Code): such a Client then has fourteen (14) days from formation of the contract to withdraw, by any written notice sent to [email protected], and acknowledges that by requesting immediate activation of its listing, it waives this right once the service has been fully performed.
15. Suspension and termination for breach
In the event of the Client's breach of its obligations (unlawful content, misleading information, non-payment, infringement of third-party rights), KaliDirectory may suspend the listing after a formal notice sent by e-mail that remains unheeded for fifteen (15) days, or without delay in cases of urgency or manifest unlawfulness, and then terminate the contract without refund of the sums paid and without prejudice to any damages.
The Client may terminate the contract if KaliDirectory seriously breaches its obligations and fails to remedy this within thirty (30) days of a written formal notice. Sums already paid remain due, subject to mandatory legal provisions.
16. Force majeure
Neither party may be held liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code, including the prolonged failure of a host, a network or an essential service provider.
17. Amendment of the Terms
KaliDirectory may amend these Terms at any time. The version applicable to a contract is the one in force on the day of the Client's request. The version in force can be consulted on the Site, with its date.
18. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the parties shall first seek an amicable solution; failing agreement within thirty (30) days of the first written notification, the dispute falls within the jurisdiction of the competent courts of the district of KaliDirectory's registered office, subject to the mandatory jurisdiction rules applicable to a Client who qualifies as a consumer or non-professional.
