Terms and conditions of use

1. PREAMBLE

KaliDirectory (hereinafter "the Platform") is published by KaliDirectory (hereinafter "the Publisher"). It can be accessed at www.kalidirectory.com (hereinafter "the Site").
The Platform is an online directory designed to list companies operating or offering services in the Principality of Monaco.
These General Conditions of Use (the "GCU") govern access to and use of the Site by any visitor or user (the "User") from Monaco, France or the European Union.

Access to the Site implies full acceptance of :
- these GCU ;
- the Legal Notice ;
- the Privacy Policy;
- where applicable, the General Terms of Sale (GTS) applicable to paid services.

2. ACCESS TO THE PLATFORM

As part of the launch of the KaliDirectory platform, and until expressly notified in advance by the Publisher, access to the content of the said platform will be free of charge, except for the cost of connection.

3. DEFINITIONS

Professional Page: Descriptive page relating to a company or professional, compiled from information provided by the latter and published on the Platform.
Content: All data (texts, visuals, logos, documents, comments, etc.) transmitted by the User to the Publisher or published on the Platform.
Services: Free features (basic referencing, search engine, public consultation) and paid features (advertising, sponsored articles, etc.) offered by KaliDirectory.

Note: There is no user account interface available at launch; Listings are managed directly by the Publisher on the basis of information supplied by companies.

4. SUBMISSION & PUBLICATION OF BUSINESS CARDS

4.1 Eligibility

Any legally registered entity (company, sole trader, association) with an economic activity related to the Principality of Monaco may request publication of a Listing.

4.2 Submission process

The company sends the Publisher the necessary information (company name, contact details, description, visuals, etc.) by form or e-mail. No account creation is required.

4.3 Accuracy

The company guarantees the accuracy, sincerity and up-to-dateness of the information provided and undertakes to notify any changes without delay. It remains solely responsible for the Content transmitted.

4.4 Moderation

The Publisher reserves the right, at its sole discretion, to refuse, postpone, correct or delete any Content or any Entry that contravenes these GCU, applicable regulations, public order or morality, without compensation or notice.

5. RULES OF CONDUCT & PROHIBITED CONTENT

The User (and, in general, any person providing Content) undertakes not to:
- communicating false, misleading, obsolete or unfair information ;
- usurp the identity, company name or rights of a third party;
- publish any message or material that is illicit, defamatory, hateful, discriminatory, violent, obscene or contrary to public order;
- infringe the intellectual property rights, personal data or image rights of third parties;
- scrap, mass-extract or use robots to collect, index or reuse Site data without prior written authorization.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Publisher's rights

The general architecture of the Site and all its component parts (trademarks, texts, graphics, logos, databases, software, etc.) are protected by copyright and, where applicable, by the sui generis rights of database producers. Any reproduction or representation, total or partial, without written authorization, is strictly forbidden.

6.2 License granted by the Company

The Company grants the Publisher, for the legal term of protection and for the entire world, a free, non-exclusive and transferable license to reproduce, represent, adapt, translate and communicate to the public its Content, for the sole purpose of exploiting, promoting and illustrating the Platform.

7. SERVICE AVAILABILITY & SECURITY

The Publisher uses reasonable efforts to ensure the availability and security of the Site, but is only bound by an obligation of means. Access may be suspended for maintenance, updating or in cases of force majeure. The Editor cannot be held liable for indirect damage (loss of sales, data, etc.).

8. LIABILITY & WARRANTIES

The company remains solely responsible for the Content it provides and guarantees that it has all the necessary rights thereto.
The Platform acts as a host: the Publisher may only be held liable after regular notification of unlawful Content that has not been promptly removed.

9. NOTICE & TAKE-DOWN PROCEDURE

Any person who believes that Content infringes his or her rights or the law may request its removal by writing to contact@kalidirectory.com and providing :

1. full contact details ;
2. the precise URL of the disputed Content;
3. the legal basis for the request;
4. any relevant supporting documents.

The Publisher will analyze the request and take appropriate action within a reasonable time.

10. PERSONAL DATA

Data processing is governed by the Privacy Policy in compliance with European Union Regulation no. 2016/679 (RGPD).
Any User may exercise their rights (access, rectification, deletion, opposition, limitation, portability) at contact@kalidirectory.com.

11. MODIFICATIONS TO THE CGU

The Publisher may modify the GCU at any time. Substantial modifications will be notified on the Site or by e-mail. Continued use of the Site after notification constitutes acceptance.

12. APPLICABLE LAW & JURISDICTION

The GCU are governed by the laws applicable in France. Any dispute shall be subject to the exclusive jurisdiction of the courts of KaliDirectory's registered office.
